By-Law Revision Proposal 2024

Approval will be held at special Zoom meeting February 20, 2023.

1. CORRECTION
   
   5.1: Appointment of a Director by the Board pursuant to 5.4.5 is incorrect and should be 5.3.5.
   
   Board of Directors
   5.3: Duties of the Board of Directors shall be:
   5.3.5: The Board may fill a vacated and unexpired term on the Board of Directors by a majority vote of the Board at any regular or special meeting of the Board of Directors.
   
   
2. PROPOSED CHANGE TO THE BYLAWS (Clarification)
   
   5.3.6: To individually maintain current paid Friends of Tamarac membership dues.
   5.3.7: To appoint ex-officio member(s) to the Board as deemed necessary to accomplish the Corporation’s mission. These ex-officio member(s) have the right to speak at meetings, but would not have the authority to vote as a director.
   
   
3. PROPOSED CHANGE TO THE BYLAWS (Addition)
   
   5.3.8: To appoint provisional members to the Board as deemed necessary to accomplish the Corporation’s mission. Provisional members would have full rights of the Board of Directors including voting rights and committee membership. Provisional status would be removed, and formal board status conferred at the time of election by the Friends of Tamarac membership at the next scheduled annual meeting. Formal first term of office for purposes of term limits would begin in January of the year (of the) election.
